L-3 Communications to acquire TRL Electronics

L-3 Communications and TRL Electronics have reached an agreement whereby L-3 Communications will acquire TRL Electronics. The offer, which will be made by Lehman Brothers on behalf of the L-3 Communications Group, a wholly-owned subsidiary of L-3 Communications, is conditional on the consent of the United Kingdom's Ministry of Defence.

TRL supplies advanced radio and satellite communications systems, providing governments and defense organizations with the tools to trace, monitor and defend transmissions, as well as to communicate securely. The company has expertise in electronic counter measures (ECM) with recent developments focused on responsive radio jammers and denial-of-service devices. The company also provides military off-the-shelf ECM and electronic warfare support products and is engaged in research and development for the UK's Ministry of Defense.

TRL's Electronic Security division specializes in the protection of sensitive electronic data during transmission and storage using cryptographic techniques and provides military-grade ATM and IP network cryptography.

"Secure communications has been at the core of L-3's business since the company was formed in 1997," said Frank C. Lanza, chairman and chief executive officer of L-3 Communications. "TRL brings even greater capability to several of our existing businesses." Lanza noted that TRL will be synergistic with L-3's offerings in secure communications and encryption, as well as SatCom and surveillance products.

With headquarters in New York City, L-3 Communications provides intelligence, surveillance and reconnaissance systems and secure communications systems. Its customers include the Department of Defense, the Department of Homeland Security, as well as various U.S. government intelligence agencies and aerospace prime contractors.
